Terms of Service

These terms govern your use of the OpenLivery managed cloud service at app.openlivery.com, operated by Megacubos, LLC ("we", "us"). By creating a workspace or using the service you agree to these terms. The open-source OpenLivery software is licensed separately under the MIT License; if you self-host it, these terms do not apply to your deployment.

The service

OpenLivery lets agencies create and operate AI agents for their clients, including a chat playground, a client portal and messaging channels such as WhatsApp. Features may evolve over time; we may add, change or remove functionality as the product develops.

Accounts and workspaces

• You must provide accurate information and keep your credentials secure. You are responsible for activity in your workspace.
• You must be authorized to act on behalf of the business that owns the workspace.
• The service is intended for businesses and is not directed to children.

Subscriptions and billing

• Paid plans are billed as recurring subscriptions through Stripe. Prices and plan limits are listed on the pricing page.
• Trials, when offered, convert into a paid subscription at the end of the trial period unless you cancel first.
• You can cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period.
• If a subscription lapses or payment fails, we may suspend the workspace until billing is restored.

Acceptable use

You agree not to use the service to:

• send spam or unsolicited messages, or violate messaging channel policies (including the WhatsApp Business and Meta Platform terms);
• break the law, infringe the rights of others, or distribute malicious content;
• attempt to breach the security or isolation of the platform or other workspaces;
• resell the service in a way that misrepresents who operates it.

Your content

You own the content in your workspace: your clients, agents, knowledge documents and conversations. You grant us the rights needed to host and process that content solely to provide the service. We do not sell your content and we do not use it to train our own models. Data handling is described in the Privacy Policy.

Third-party services

The service integrates with third parties, including AI providers configured for your workspace, Stripe for payments and Meta for WhatsApp channels. Your use of those integrations is also subject to the third party's terms, and connecting a WhatsApp Business account requires complying with the WhatsApp Business Terms of Service and the Meta Platform Terms.

AI output

Responses are generated by AI models and may be inaccurate. You are responsible for how the agents you configure are used with your clients and their customers, including reviewing instructions, knowledge and behavior for your use case.

Availability

We work to keep the service available and reliable, but it is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

Limitation of liability

To the maximum extent permitted by law, Megacubos, LLC is not liable for indirect, incidental or consequential damages, and our total liability for any claim related to the service is limited to the amounts you paid us in the twelve months before the claim.

Termination

You can stop using the service and delete your workspace at any time. We may suspend or terminate a workspace that violates these terms. Deletion of data after termination is described in the Privacy Policy and on the data deletion page.

Changes

If we make material changes to these terms we will update this page and note the new date at the top. Continuing to use the service after a change means you accept the updated terms.
